Inter alia, to transact the following businesses:- 1. To consider and approve proposal for raising of funds by way of issuance of equity shares, in one or more tranches by way of Qualified Institutions Placements (QIP) in accordance with the applicable provisions of the Companies Act, 2013 and the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, (each as amended), in such manner, and on such terms and conditions as may be deemed appropriate by the Board in its absolute discretion, subject to the receipt of necessary approvals, including the approval of the shareholders of the Company and such other regulatory and statutory approvals as may be required.

Inter alia, to consider and approve:- 1. The proposal of preferential issue of warrants convertible into equity shares of the Company. 2. Convening an extraordinary general meeting to seek shareholders approval for the aforesaid proposal of preferential issue.

Inter alia, to consider and approve: 1. Cost Audit report for the financial year 2025-26; 2. Any other business with the permission of chairman.

Inter alia, to consider and approve the proposal of removal of restriction on transferability and other incidental conditions of 27,600 "A" Equity Shares and 1,15,748 Second A equity shares of Force Motors Limited. It is also informed that the aforesaid 27,600 "A" equity shares and 1,15,748 Second A equity shares are not listed on BSE Limited and National Stock Exchange of India Ltd, this intimation is being given by the Company to the Stock Exchanges as a matter of caution and for information purposes, as the rights associated with A equity shares and Second A equity shares are to be varied as per the provisions of section 48 of the Companies Act 2013.
