 Pursuant to Regulations 30, 42 and 51 read with Part A of Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time, Tata Capital has informed that the Board of Directors of the Company at its Meeting held today, July 13, 2026 has: 1. Annual General Meeting: Approved convening of the 35th Annual General Meeting (‘AGM’) of the Company on Wednesday, August 19, 2026 at 11.00 am through Video Conferencing/Other Audio-Visual Means, in accordance with the applicable guidelines and circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India. 2. Record Date: Fixed Monday, July 27, 2026 as the ‘Record Date’ for determining the entitlement of Members to receive the final dividend for the financial year ended March 31, 2026. Subject to declaration by the Members at the AGM, the dividend will be paid on or after August 24, 2026, after deduction of tax at source, as applicable. 3. Appointment of T. P. Ostwal & Associates LLP, Chartered Accountants as one of the Joint Statutory Auditors: Based on the recommendation of the Audit Committee, approved the appointment of T. P. Ostwal & Associates LLP, Chartered Accountants (ICAI Firm Registration No. 124444W/ W100150) as one of the Joint Statutory Auditors of the Company, for a period of three consecutive years i.e. FY 2026-27, FY 2027-28 and FY 2028-29 to hold office from the conclusion of the 35th AGM of the Company till the conclusion of the 38th AGM of the Company, subject to approval of the shareholders, since the tenure of one of the existing Joint Statutory Auditors of the Company i.e. MSKA & Associates LLP, Chartered Accountants (ICAI Firm Registration No. 105047W), would be ending at the ensuing 35th AGM of the Company. The requisite details pursuant to Regulation 30 of the SEBI Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated July 11, 2023 (updated as on January 30, 2026) are enclosed as Annexure A.
