AVG Logistics has informed that this is in continuation of earlier intimation dated April 28, 2026 for the Board meeting and subsequent deferment notice dated May 04, 2026, wherein the company had informed the Stock Exchanges about rescheduling/postponement of the Board meeting/Rights Issue Committee meeting of the Company, due to pending In-principle approval from the Stock Exchanges in connection with the proposed Rights Issue. Further to the above and in compliance with Regulation 29(1)(d) and other applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), a meeting of the Board of Directors of the Company is scheduled to be held on Friday, May 15, 2026, to consider and decide on various matters in connection with aforesaid Rights Issue such as determination of fully paid-up equity share price, number of fully paid-up equity shares, rights entitlement ratio, record date, rights issue period and other terms and conditions with respect to the Rights Issue, consequent to the receipt of in-principle approvals from the Stock Exchanges today, May 12, 2026. With reference to its prior intimation dated March 28, 2026, whereby the company had informed about the meeting of the Board of Directors of the Company scheduled to be held on Monday, April 06, 2026, to consider the proposal for fund raising by way of issuance of equity shares or other securities through a Rights Issue/Private Placement/Preferential issue and/or any other permissible mode. AVG Logistics has informed that the said meeting of the Board of Directors scheduled for today has been deferred, as certain preparatory and procedural requirements in connection with the proposed fund-raising exercise, including compilation and finalisation of requisite information, documents and regulatory compliances, are presently under process. The Board shall consider the aforesaid proposal at an appropriate time after completion of the necessary preparatory steps. The date of the Board meeting will be announced soon and the Company shall make necessary disclosures in compliance with the applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
