Pursuant to Regulation 44(3) of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, Insilco has informed that details of the Voting Results of the Adjourned 38th Annual General Meeting of the Members of the Company held on Thursday, 17th September 2026 at 03:00 PM (IST) through Video Conferencing (‘VC’)/Other Audio-Visual Means (‘OAVM’), in compliance with all the applicable provisions of the Companies Act, 2013 and Rules framed thereunder and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with General Circular Nos.14/2020 dated 8th April 2020, 17/2020 dated 13th April 2020 and other subsequent circulars issued in this regard, the latest being General Circular No. 03/2025 dated 22nd September 2025, issued by the Ministry of Corporate Affairs (‘MCA Circulars’) has permitted the holding of the AGM through Video Conferencing (‘VC’)/Other Audio Visual Means (‘OAVM’) without the physical presence of the shareholders at a common venue. The deemed venue for the 38th AGM shall be the Registered Office of the Company. The company has enclosed the consolidated report of the Scrutinizer on remote e-voting prior and e-voting during the AGM.
