IndoStar Capital Finance has informed that the Board of Directors of the Company at its Meeting held today, Wednesday, July 29, 2026, has considered and approved the following matters: 1) Unaudited Standalone Financial Results of the Company for the quarter ended June 30, 2026, along with Limited Review Report thereon at Annexure I; 2) Unaudited Consolidated Financial Results of the Company for the quarter ended June 30, 2026, along with Limited Review Report thereon at Annexure II; 3) Disclosure pursuant to Regulation 52(4) of the Listing Regulations, for the quarter ended June 30, 2026, at Annexure III; 4) Issuance of Non-Convertible Debentures for an amount not exceeding Rs. 6,000 crores in a year through Private Placement, subject to approval of the Shareholders at the ensuing 17th Annual General Meeting of the Company; 5) Convening of the 17th Annual General Meeting (AGM) of the Shareholders of the Company on Friday, September 25, 2026 at 11:00 a.m. through Video Conferencing (VC) or Other Audio-Visual Means (OAVM). The AGM Notice includes the proposal for raising of funds by way of issuance of eligible debt securities; 6) Appointment of S. R. Batliboi & Co. LLP (ICAI Firm Registration Number: 301003E/E300005), as Statutory Auditors of the Company for a term of three consecutive years, based on recommendation of Audit Committee, subject to the approval of the Shareholders at the ensuing 17th Annual General Meeting of the Company; 7) Security Cover Certificate as on June 30, 2026, certified by MSKA & Associates LLP, Chartered Accountants, Statutory Auditors of the Company, pursuant to Regulation 54 of the Listing Regulations at Annexure IV; and 8) A statement indicating the utilisation of the issue proceeds of non-convertible debentures, pursuant to Regulation 52(7) and 52(7A) of the Listing Regulations, for the quarter ended June 30, 2026 at Annexure V. The requisite disclosure in accordance with the Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, in respect of approval mentioned under Sr. No. (6) is enclosed as Annexure A. In terms of the Company’s Code of Conduct for Prohibition of Insider Trading and Internal Procedures, the trading window for dealing in the securities of the Company by designated persons and their immediate relatives will open on Monday, August 03, 2026. The Board Meeting commenced at 01:00 PM (IST) and concluded at 02.45 PM (IST).
