Pursuant to the Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, GSL Securities has informed that the execution of the Share Purchase Agreement dated 16th September, 2026 (‘SPA’) amongst the (a) Promoters and Promoter Group of the Company and (b) Shrikant Mitesh Bhangdiya, Aarti Shrikant Bhangdiya and Sonal Kirtikumar Bhangdiya (as ‘Acquirer’). Pursuant to the SPA, the Acquirer has agreed to acquire upto 19,07,600 equity shares of the Company (‘Sale Shares’) representing 44.62% of the Voting share capital of the Company, from the Sellers, at a consideration at a price of Rs 42 per Equity Share aggregating to Rs 8,01,19,200 subject to the terms and conditions set out in the SPA (‘Proposed Transaction’). The acquirer has submitted the open offer disclosure to the stock exchange. The details as required under Regulation 30 of the SEBI (LODR) Regulations read with SEBI Master Circular dated 30 January 2026, bearing reference no. SEBI/ HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 are set out in ‘Annexure-1’. The Intimation is available on Company’s Website www.gslsecurities.com as well as BSE website www.bseindia.com.
