Marico informs about retirement of independent director

Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), Marico has informed that the Board of Directors (‘Board’) of the Company has vide resolution passed today, noted, taken on record and approved the following matters: 1. Milind Barve (DIN: 00087839), Independent Director, has informed the Company vide letter dated July 1, 2026 that due to persistent health issues and need to focus on his recovery, he will not be seeking re-appointment upon completion of his current term as an Independent Director. Accordingly, Barve shall retire as an Independent Director of the Company with effect from the end of day on August 1, 2026. Consequently, Barve shall cease to be the Lead Independent Director, Chairman of the Audit Committee, Risk Management Committee and Stakeholders Relationship Committee, and a Member of Corporate Social Responsibility Committee, with effect from the end of day on August 1, 2026. The Board and Management place on record their deep appreciation for the contributions made by Milind Barve during his association with the Company over the years. Disclosure under Regulation 30 of the SEBI Listing Regulations, read with SEBI Master Circular No. HO/49/14/14(7)2025- CFDPOD2/I/3762/2026 dated January 30, 2026 (as amended), is enclosed as Annexure I; 2.
