Marico informs about change in SMP

Pursuant to the provisions of Regulation 30 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), Marico has informed about the following changes in SMP of the Company: 1. Pawan Agrawal, who is currently an SMP/KMP and designated as Group CFO and CEO International Business: Rest of South Asia and SE Asia, will take on the expanded responsibility of leading the overall international business of Marico with effect from April 1, 2026. He will be designated as Group CFO and Chief Executive Officer - International Business. 2. Consequent to the aforesaid change, the reporting structure of Binjit Kadakapcedlikayal, Executive Vice President - Middle East & North Africa, and Ryan Bartram, Managing Director - Marico South Africa, currently categorized as SMPs, will move under the ambit of CEO - International Business and they both will cease to be categorized as SMPs with effect from April 1, 2026. Requisite details as per SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 (as amended) is enclosed as Annexure I. Marico has informed that the Securities Committee of the Board of Directors of the Company vide a resolution passed on February 24, 2026, has allotted 17,077 equity shares of face value of Re. 1 each of the Company under various Schemes of ESOP 2016, to the eligible grantees, pursuant to exercise of stock options granted thereunder. Consequent to the aforesaid allotment, the paid-up share capital of the Company has increased from 1,29,81,18,654 equity shares of Re. 1 each aggregating to Rs.1,29,81,18,654/- to 1,29,81,35,731 equity shares of Re. 1 each aggregating to Rs. 1,29,81,35,731/-.
