Pursuant to the provisions of Regulation 30 read with Regulation 33 of SEBI (Listing Obligations and Disclosures Requirement) Regulations, 2015, Newtime Infrastructure has informed that the Board of Directors of the Company in its meeting held today, Monday, 06th July, 2026 has considered, noted and approved the following matters: 1. Regularize the appointment of Sri Kant (DIN: 06951400) as a Non-Executive Independent Director subject to approval of shareholders. 2. Approved the Postal Ballot Notice (encl) dated 06th July 2026, together with the Explanatory Statement thereto. (Copy Enclosed) 3. Appointment of S Khurana & Associates to act as the Scrutinizer for conducting the e-voting process/ballot process in a fair and transparent manner. The meeting of Board of Directors commenced at 02:00 pm and concluded at 03:00 pm.
