IRB Infrastructure Developers has informed that the board of directors (Board) of the Company at its meeting held today i.e. May 15, 2026, has approved to continue to act as the Project Manager, in accordance with the SEBI (Infrastructure Investment Trusts) Regulations, 2014, as amended (SEBI InvIT Regulations), to provide operation and maintenance works to each of IRB Jaipur Deoli Tollway Limited, IRB Pathankot Amritsar Toll Road Limited and IRB Talegaon Amravati Tollway Limited (collectively referred as Project SPVs), project SPVs of IRB InvIT Fund (Public InvIT) in connection with implementation of their respective projects, with effect from end of the tenure of the concession period of the respective Project SPVs i.e., from April 1, 2030 until the end of the concession period of the respective Project SPVs. In this regard, the Board has also approved amended and restated project implementation agreements to be executed by the Company with each of the Project SPVs for an approximate aggregate value up to Rs 1,136 crore on fixed price basis (plus applicable taxes payable as per agreement i.e. approximately up to Rs 1,340 crore including GST @18%), on such other terms and conditions as may be agreed among the parties. The Proposed Transaction is subject to the receipt of applicable regulatory approvals. The details of the aforesaid transaction as required in pursuance of Regulation 30 of SEBI (Listing Obligation and Disclosure Requirement) Regulation, 2015 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, is annexed as Annexure I.

As a further update to its intimations and clarifications dated November 21, 2024, November 27, 2024, January 23, 2026, January 24, 2026, January 31, 2026, April 8, 2026 and April 18, 2026. In relation to the civil complaint (No. 24-CV-08080) filed before the United States District Court for the Eastern District of New York (‘US Eastern District NY Court’) by the United States Securities and Exchange Commission (‘US SEC’) against Gautam Adani and Sagar Adani, Adani Green Energy has informed that the US SEC, Gautam Adani and Sagar Adani have filed their request for entry of final judgment, on consent, before the US Eastern District NY Court on May 15, 2026 India Time/ May 14, 2026 New York Time. The final judgment is awaited. Details as required under the SEBI Listing Regulations read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated July 11, 2023 (as updated on January 30, 2026) are as disclosed in Annexure A. As mentioned earlier, the Company is not a party to this proceeding, and no charges have been brought against it.
