The notice to be sent to the members of the Company and exchange(s) for convening the 16th Annual General Meeting on Wednesday, August 26, 2026, at 12:00 PM IST through video conferencing or other audio-video means containing the following matters: a) To consider and adopt the audited standalone and consolidated financial statements of the Company for the financial year ended March 31, 2026, together with the reports of the board of directors and auditors’ thereon; and b) To re-appoint Sanjeev Bikhchandani (DIN: 00065640), Non-Executive Nominee Director, who retires by rotation and being eligible, offers himself for re-appointment; and entering of a business transfer agreement (BTA) between the Company and Carthero Technologies (CTPL), a wholly owned subsidiary of the Company wherein the Company shall transfer its business operating under the name ‘Nugget by Zomato’ (Nugget Business) to CTPL as part of an internal restructuring exercise to streamline our corporate structure.
