Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements), Regulations, 2015 (‘SEBI Listing Regulations’), PB Fintech has informed that Kaushik Dutta (DIN: 03328890) and Lilian Jessie Paul (DIN: 02864506) have completed their first term of office as an Independent Directors of the Company on June 18, 2026. Owing to their current professional preoccupations and other personal commitments, they have expressed their inability to continue for a second term. Accordingly, upon completion of their first term, they have ceased to be Independent Directors of the Company with effect from the close of business hours on June 18, 2026. Consequent to the cessation of their directorships, Kaushik Dutta has ceased to be the Chairperson of the Audit Committee and a Member of the M&A and Investment Committee. Further, Lilian Jessie Paul has also ceased to be a Member of the Stakeholders’ Relationship Committee and the Corporate Social Responsibility Committee of the Company, with effect from the aforesaid date. The Board of Directors and the Management of the Company places on record their sincere appreciation for the valuable contributions, guidance and services rendered by Kaushik Dutta and Lilian Jessie Paul during their association with the Company as an Independent Directors. FSN E-Commerce Ventures has informed that this is with reference to the clarification sought in news item which appeared in the ‘https://www.moneycontrol.com/’ dated June 17, 2026 captioned ‘Nykaa shares rise over 3% after beauty retailer partners with OpenAI for AI-enabled shopping’. They clarified that the Company, in the ordinary course of its business, regularly collaborates with various parties to support and enhance its business. Accordingly, the Company remains in discussions with concerned parties, including the one referred above. This is one of such partnership with OpenAI for AI enabled shopping experience in the ordinary course of business. The Company will make appropriate disclosures / announcements in compliance with applicable laws, as and when due. Further clarified that there is no material information/announcement (including price sensitive information) which has not been announced and could have a bearing on the price/volume behaviour in the scrip. Therefore, the movement in trading is purely market-driven and may be a combination of various market factors. Currently, in the context of the above captioned subject matter, there are no pending legal/ regulatory proceedings.
