Further to its earlier announcements dated May 13, 2026 and June 15, 2026, pursuant to the approvals granted by the Board of Directors and the shareholders of the Company and on receipt of all statutory/ regulatory approvals, Bharti Airtel has submitted the following: (a) The Company has completed the acquisition of 595,204,251 shares (~16.3% stake) of Airtel Africa, from ICIL on June 22, 2026. Consequently, the Company’s effective stake in Airtel Africa has increased to ~79%. (b) The ‘Special Committee of Directors for Preferential Issue’ of the Company, has today, approved the allotment of 146,761,335 fully paid-up equity shares of face value of INR 5 each to ICIL, on a preferential basis. Consequently, (a) ICIL holds ~3.25% of the total post-issue equity share capital of the Company; and (b) the paid-up equity share capital of the Company stands increased to INR 31,201,606,575.00 divided into 6,240,043,648 fully paid-up equity shares of INR 5 each and 1,110,668 partly paid-up equity shares of INR 5 each (paid-up value INR 1.25 each).

VEDL/Sec./SE/26-27/52 dated June 18, 2026, and pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time and in compliance with Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration) Rules, 2014, and the Secretarial Standard on General Meetings (SS-2) issued by the Institute of Company Secretaries of India (ICSI), Vedanta has informed that it enclosed the copy of newspaper advertisement published today, June 20, 2026, intimating that the 61st AGM of the Company is scheduled to be held on Tuesday, July 14, 2026 at 3:00 pm IST through VC/OAVM, in Sakal (Mumbai in Marathi Language). The same is also uploaded on the website of the Company and can be accessed at www.vedantalimited.com.
