In terms of Requirements) Regulations, 2015, SG Mart has informed that the Board of Directors of the Company in its meeting held today, Monday, May 4, 2026, which commenced at 12:30 pm and concluded at 3:00 pm, transacted the following: 1. Approved the Audited Financial Results (Standalone and Consolidated) of the Company for the quarter and the year ended March 31, 2026; 2. Based on the recommendation of the Audit Committee, approved the appointment of HMVN & Associates, Cost Accountants, (Firm Registration No. 000290) as Cost Auditors of the Company for the Financial Year 2026-27. The following documents are enclosed in respect of the items transacted in the meeting: a. A copy of the above referred financial results including Statement of Assets and Liability and Cash Flow statements along with the Report(s) of the Statutory Auditors thereon issued by Walker Chandiok & Co LLP, Chartered Accountants. b. The Reports of the Auditors are self-explanatory with unmodified opinion with respect to the Audited Financial Results (Standalone & Consolidated) of the Company for the financial year ended March 31, 2026. c. The necessary disclosures required pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026.
