Pursuant to Regulation 30 and other applicable provisions of the SEBI Listing Regulations, Coforge has informed that the members of the Board of the Company have noted the resignation of Non-Executive Independent Director and Chairperson of the Company, O P Bhatt (DIN: 00548091) with immediate effect. The Board wishes to thank Mr Bhatt for his services. Accordingly, he also ceases to be member of the Committees of the Company with immediate effect. There is no other material reason for his resignation other than the reason stated in his resignation email dated September 8, 2026. Further, the Board also decided to designate Vivek Sharma, Non-Executive Independent Director, as interim Chairperson of the company till January 31, 2027. The additional details required under Regulation 30 of the SEBI Listing Regulations read with SEBI’s Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as Annexure A. The email of his resignation as received by the members of the Board from Mr. Bhatt is enclosed as Annexure B to this letter.

Pursuant to the SEBI (Prohibition of Insider Trading) Regulations, 2015, as amended, Coforge has informed that Trading Window for dealing in the securities of the Company shall remain closed for all Designated Persons and their immediate relatives with effect from October 01, 2026, for the purpose of consideration of Financial Results for the quarter & half year ended September 30, 2026, and other matters, if any. The trading window will re-open 48 hours after the declaration of Financial Results of the Company for the quarter & half year ended September 30, 2026. Accordingly, all Designated Persons and their immediate relatives, directly or indirectly, are prohibited to deal in the securities of the Company during this period. Further, pursuant to Regulation 29(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the meeting of Board of Directors of the Company is scheduled to be held on Friday, October 23, 2026, to consider and approve the un-audited consolidated and standalone financial results of the Company for the quarter & half year ended September 30, 2026. The company has informed that a conference call with Analysts and Institutional Investors will be scheduled after the Board meeting (tentatively at 05:30 PM (IST) on October 23, 2026) and further details of the same will be disclosed on the website of the Company, www.coforge.com and transcript of the same shall be shared with the stock exchanges in due course.
