Pursuant to Regulations 30 and 51 and other applicable provisions of the LODR Regulations, and in continuation of the above Existing Intimation, Capri Global Capital has informed that the management committee (‘Committee’) of the Board of Directors of the Company, has approved through Circular resolution on September 01, 2026, the following: 1. pricing, tenure and other terms of U.S.$300,000,000 7.55% Senior Secured Notes due 2029 (‘Notes’), proposed to be issued under the U.S.$1,000,000,000 (United States Dollars one billion) global medium term note programme (‘GMTN Programme’), pursuant to Regulation S and Rule 144A of the U.S. Securities Act of 1933 (as amended from time to time); 2. drafts of certain documents in relation to the Notes, including inter alia the pricing supplement and the subscription agreement; and 3. submission of the pricing supplement with the India International Exchange (IFSC) (‘India INX’) and NSE IFSC (‘NSE IFSC’). The pricing supplement will be submitted to, and the Notes will be listed on, the India INX and NSE IFSC. The required details of the Notes are set out in Annexure A hereto. This intimation is also uploaded on the Company’s website at www.capriloans.in.
