CG Power and Industrial Solutions informs about execution of definitive agreement
CG Power and Industrial Solutions has informed that the wholly owned subsidiary of the company, Axiro Semiconductor has today (17th August 2026) entered into a Definitive Agreement i.e., Securities Purchase Agreement for the acquisition of 100% (one hundred percent) of the shareholding in Tosil Systems (‘Tosil’) for a consideration of Rs. 16.44 Crores. Tosil is an established company engaged in the business of providing semiconductor and embedded engineering services company providing silicon design, verification and physical implementation, embedded software and Linux BSP development, and Edge AI engineering services to global semiconductor and electronics OEMs. The acquisition is subject to satisfactory completion of conditions precedent as contained in the aforesaid definitive agreement entered into. Further details are in the annexed statement of disclosure furnished pursuant to Regulation 30 of the SEBI Listing Regulations.
