Pursuant to Regulation 30, 33 and other applicable provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘Listing Regulations’), IndiaMART InterMESH has informed that the meeting of Board of Directors of the Company was held today, Tuesday, July 21, 2026, to transact the following businesses: I. Audited Consolidated and Standalone Financial Results: Approved the Audited Consolidated and Standalone Financial Results (Collectively referred as ‘Financial Results’) of the Company for the quarter ended June 30, 2026. A copy of Financial Results along with Auditors’ Report(s) are enclosed as Annexure - ‘A’. The Financial Results are also being disseminated on the Company’s https://investor.indiamart.com/FinancialResultsStatements.aspx. II. Incorporation of a Wholly Owned Subsidiary of the Company: Approved the proposal for incorporation of a Wholly Owned Subsidiary of the Company in India under the name and style of ‘IndiaMART Finance’, subject to necessary approvals. The details as required under Regulation 30 of the Listing Regulations read with SEBI Circulars are enclosed as Annexure – ‘B’. The meeting commenced at 11:00 am and concluded at 15:15 pm.
