JD Cables informs about annual secretarial compliance

JD Cables has informed that pursuant to Regulation 15(2) of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time (hereinafter referred to as the ‘SEBI (LODR) Regulations, 2015’), the compliance with the corporate governance provisions as specified in Regulations 17, 17A, 18, 19, 20, 21, 22, 24, 24A, 25, 26, 27 and clauses (b) to (i) and (t) of sub-regulation (2) of Regulation 46 and Paras C, D and E of Schedule V shall not apply in respect of a listed entity which has listed its specified securities on the SME Exchange. However, it is hereby clarified that the provisions of Regulation 23 of the SEBI (LODR) Regulations, 2015, relating to Related Party Transactions, shall continue to be applicable to the Company. With respect to above subject matter, we hereby wish to inform you further that the Company has listed its specified securities on the SME Exchange and hence Regulation 24A is not applicable to the Company. In view of above, as the Company falling under ambit of Regulation 15 (2) (b) of said SEBI (LODR), Regulations, 2015, the requirement to submit Annual Secretarial Compliance Report as required by Regulation 24A of the SEBI (LODR) (Amended) Regulations 2015 read with SEBI Circular No.- CIR/CFD/CMD1/27 /2019 dated February 08, 2019, is not applicable and hence they are not required to submit the Annual Secretarial Compliance Report.
