CSB Bank has informed that the 105th Annual General Meeting (‘AGM’) of the members of the Bank will be held on Friday, August 21, 2026, at 11:00 am IST through Video Conferencing (‘VC’) / Other Audio Visual Means (‘OAVM’), in compliance with Companies Act, 2013 (the ‘Act’), read with General circular dated September 22, 2025, issued by Ministry of Corporate Affairs (‘MCA’) and circular dated October 3, 2024, issued by Securities and Exchange Board of India (‘SEBI’) providing relaxations to the section 96 and other applicable provisions of the Act, in the matter of holding AGM and matters incidental thereto. Further, pursuant to Section 91 of the Act and Regulation 42 of the SEBI Listing Regulations, the Register of Members and the Share Transfer Books of the Bank will remain closed from Saturday, August 15, 2026 to Friday, August 21, 2026. Notice of the AGM and Annual Report will be submitted separately in terms of Regulation 34(1) of the SEBI Listing Regulations.

Pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), CSB Bank has informed that the Nomination & Remuneration Committee (‘Committee’) of the Board of Directors of the bank, in its meeting held on July 22, 2026, has approved grant of 61,565 stock options (‘Options’) to an eligible employee of the Bank under CSB Employee Stock Option Scheme 2019 (‘Scheme’), exercisable into not more than 61,565 equity shares of face value of Rs. 10/- each fully paid-up of the Bank, at an exercise price of Rs. 370.00 per equity share. The disclosures required as per the SEBI Regulations, read with the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, SEBI Master Circular No. SEBI/HO/49/14/14(7)2025-CFDPOD2/I/3762/2026 dated January 30, 2026, are enclosed. The meeting of the Nomination and Remuneration Committee of the Board of Directors of the Bank commenced at 08.30 am and concluded at 08.55 am. Pursuant to Regulation 3(3) of the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, (‘SEBI SBEB & SE Regulations’), and in continuation of its letter No. SEC/141/2021 dated April 15, 2021, CSB Bank has informed that the CSB ESOS Trust Deed, which was originally registered on May 20, 2019 and subsequently amended vide deed registered with the SubRegistrar, Thrissur, Kerala on March 26, 2021, has been further amended to effect the resignation of one of the Trustee and appointment of new two Trustees. As required under Regulation 3(3) of SEBI SBEB & SE Regulations, it has attached a copy of the duly executed amended Trust Deed.
