V.B. Desai Financial Services has informed that the Board of Directors of the Company at their meeting held on 29th July 2026, has approved the following: 1. Unaudited Financial Results for the quarter ended on 30th June 2026. The audited financial results and Auditors' Report thereon as submitted by the Auditors of the Company are enclosed. In terms of Regulation 33(3)(d) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Auditors have given an unmodified opinion on the audited standalone financial results for the quarter ended 30th June, 2026. Accepted the resignation of Nilesh Ramanlal Doshi, Independent Director designated as the Chairman of the Board with effect from 29th July 2026. The details as required under Regulation 30 of the Listing Regulations read with Part A of Schedule Ill of the Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024 are enclosed as Annexure I. The letter of resignation received from Nilesh R. Doshi containing detailed reasons for the resignation is enclosed as Annexure II. The Board meeting started at 11.45 am and ended at 12.30 noon.
