The Director Identification Number (DIN) is a unique 8-digit alphanumeric identification number assigned by the Ministry of Corporate Affairs (MCA) to any individual who intends to be a director of a company in India. Think of it as a unique identity card for directors, much like a PAN card for tax purposes or an Aadhaar card for general identification. This number ensures that the MCA can easily track and identify all the directors associated with various companies.

Who needs a DIN?

  • Any individual intending to become a director in any company (private limited, public limited, One Person Company, etc.) registered in India. Before you can be officially appointed to the board of directors, you must possess a valid DIN.

  • Existing directors of companies. If you are already serving as a director in a company and did not have a DIN previously (which is highly unlikely now as it's a mandatory requirement for quite some time), you would need to obtain one.

  • Partners becoming designated partners in a Limited Liability Partnership (LLP). While not strictly directors of a company, designated partners in an LLP also require a Designated Partner Identification Number (DPIN), the application process for which is similar to that of a DIN. For simplicity, often the term DIN is used interchangeably in this context, though DPIN is the specific term for LLPs.

Where is DIN Used?

  • Filing various forms and documents with the Ministry of Corporate Affairs (MCA). Any document related to the company that requires the director's signature, such as incorporation documents, annual returns, financial statements, and various event-based filings, will require the director to mention their DIN.

  • During the process of company registration. When a new company is being incorporated, the proposed directors must have a DIN to be named in the incorporation documents.

  • For tracking the directorships of an individual. The MCA uses the DIN to maintain a database of all individuals who are serving as directors across different companies. This helps in monitoring compliance and identifying potential conflicts of interest.

Obtaining a Director Identification Number (DIN)

  • Digital Signature Certificate (DSC). The e-Form DIR-3 needs to be digitally signed by the applicant and a practicing professional (Chartered Accountant, Company Secretary, or Cost Accountant).

  • Payment of fees. A prescribed fee is payable to the MCA for processing the DIN application.

  • Submission and processing. Once the form is complete, digitally signed, and the fee is paid, it is submitted online to the MCA. The MCA then processes the application, and upon successful verification, a DIN is allotted to the applicant.

Features of DIN (Director Identification Number)

  • Unique Identification Number: Each director is assigned a distinct and unique 8-digit alphanumeric number.

  • Non-transferable: A DIN is specific to an individual and cannot be transferred to another person.

  • Online payment of the prescribed fee. The application is processed only after the fee is successfully paid.

  • Verification by the MCA. The MCA scrutinizes the submitted form and attached documents for accuracy and completeness.

  • Allotment of DIN. If the application is found to be in order, the MCA allots an 8-digit alphanumeric DIN to the applicant. This is usually communicated electronically.

Maintaining and deactivating a DIN

Once a DIN is allotted, it is generally valid for life. However, directors are responsible for keeping their information updated with the MCA. This includes changes in address, contact details, and other personal information. Updates are typically done by filing relevant e-forms.

A DIN can be deactivated or surrendered under certain circumstances, such as:

  • Voluntary surrender by the director. If a director no longer intends to hold any directorship in any company, they can apply for the surrender of their DIN.

  • Death of the director. Upon the demise of a DIN holder, the DIN can be deactivated.

  • Adjudication as insolvent. If a director is declared insolvent by a competent court.

  • Disqualification under the Companies Act, 2013. If a director becomes disqualified from holding office under the provisions of the Act.

  • Multiple DINs held by the same person. If an individual inadvertently obtains more than one DIN, the MCA may deactivate the duplicate DINs.

Reasons for surrendering or cancelling the DIN

  • No longer interested in being a director. An individual may choose to surrender their DIN if they plan to retire or move away from holding directorships.

  • Having obtained multiple DINs. If an individual has been inadvertently allotted more than one DIN, they need to surrender the duplicate ones.

  • Disqualification under the Companies Act. If a director is disqualified from holding office, their DIN may be cancelled by the MCA.

  • Death of the director. In the unfortunate event of the director's passing, the DIN is typically cancelled.

  • Adjudication as insolvent. If a director is declared bankrupt, their DIN may be cancelled.
